These Terms of Service (“Terms”) govern your access to and use of the Leads Project website and services (collectively, the “Site”) operated by Leads Project Inc., a California corporation (“Leads Project,” “we,” “us” or “our”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

1. Acceptance of Terms

1.1 Access & Use as Acceptance. Your use of the Site constitutes your acceptance of these Terms (including any updates posted here). If you disagree, you are not authorized to access or use the Site.
1.2 Age & Authority. You represent that you are at least 18 years old (or the minimum age in your jurisdiction) and have full authority to enter into these Terms.
1.3 Binding Arbitration. Except for small-claims court actions, any dispute arising under these Terms will be resolved by final and binding arbitration on an individual basis. See Section 17 for details.

2. Site & Services

2.1 Scope. The Site includes all domains, content, features, and services offered by Leads Project, including our pay-per-lead platform, Google Ad Grant management, and marketing automation services.
2.2 Provider Sites. If you use any third-party integration or subdomain (e.g. your organization’s branded funnels), these Terms apply unless those pages are governed by separate terms.

3. Changes to Terms

We may modify these Terms at any time by posting revised Terms on the Site. Changes are effective immediately upon posting. Your continued use constitutes acceptance of the updated Terms. You should review this page periodically.

4. Access & Security

You are responsible for obtaining and maintaining all equipment and services needed to access the Site (computer, internet connection, browser). We reserve the right to modify, restrict, or discontinue access at any time.

5. Privacy Policy

Our Privacy Policy explains how we collect, use, and disclose your personal information. By using the Site, you consent to our collection and use of your data as described therein.

6. Intellectual Property

6.1 Ownership. All Site content—text, graphics, logos, code, and software—is owned or licensed by Leads Project and protected by copyright, trademark, and other laws.
6.2 Limited License. Subject to these Terms, we grant you a revocable, non-exclusive, non-transferable license to access and use the Site for your personal or business purposes.
6.3 Restrictions. You may not copy, modify, distribute, reverse-engineer, or create derivative works of any part of the Site without our express written permission.

7. Prohibited Conduct

You agree not to:

• Interfere with or disrupt Site operations.

• Attempt unauthorized access to any part of the Site or its systems.

• Use automated means (scrapers, bots) to access or extract data.

• Transmit malicious code or malware.

• Harvest personal data of other users.

• Use the Site to engage in illegal or infringing activities.

8. Consent to Contact

By submitting your contact information, you consent to receive calls, texts, and emails (including prerecorded or autodialed) from Leads Project or authorized partners regarding our services, at the number or address you provide. Message and data rates may apply.

9. Monitoring & Enforcement

We do not generally monitor user activity but reserve the right to investigate and remove any content or suspend accounts that violate these Terms or applicable law.

10. Third-Party Links & Integrations

The Site may contain links to third-party sites or services. We are not responsible for their content, policies, or practices. Your use of such sites is at your own risk and may be subject to their terms.

11. No Guarantees or Endorsements

Leads Project does not guarantee matching or results for any pay-per-lead or grant-management services. References to average or example results are illustrative and not promises of performance.

12. Disclaimer of Warranties

THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEADS PROJECT’S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE SIX MONTHS PRIOR TO THE CLAIM. IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

14. Indemnification

You agree to defend, indemnify, and hold harmless Leads Project and its officers, directors, employees, and agents from any claims, losses, or liabilities arising from your use of the Site or violation of these Terms.

15. Notices

We may provide notices by email, posting on the Site, or other means. Legal notices shall be sent to:

16. Electronic Communications

By using the Site, you consent to receive communications electronically and agree that all agreements, notices, disclosures, and other communications satisfy any legal requirement of writing.

17. Arbitration & Class Waiver

17.1 Arbitration. All disputes shall be resolved by binding arbitration under the American Arbitration Association’s rules, in Los Angeles County, California (or another mutually agreeable location), before a single arbitrator.
17.2 Class Action Waiver. You and Leads Project agree to resolve disputes on an individual basis only, and waive any right to a class, collective, or representative action.

18. Governing Law & Venue

These Terms and any disputes are governed by California law, without regard to conflict-of-law principles. If arbitration is unavailable, you agree to submit to the exclusive jurisdiction of state or federal courts in Los Angeles County, California.

20. Miscellaneous

• Severability. If any provision is invalid, the remainder will remain in full force.

• No Waiver. Our failure to enforce any right is not a waiver.

• Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Leads Project regarding the Site.

21. Reputation Management Service Terms

21.1 Scope of Service.
Leads Project provides a monthly reputation management service (“Service”) which may include review request automation via SMS or email, Google Business Profile optimization, and related local visibility improvements. Actual components may vary by plan.

21.2 Client Responsibilities.
Client agrees to provide all necessary access, data, or customer information (such as customer name, phone, or email lists) to enable performance of the Service. Leads Project shall not be liable for underperformance caused by Client’s delay, inaction, or failure to provide required materials.

21.3 Billing & Renewal.
All plans are billed in advance on a recurring month-to-month basis. Services automatically renew each month unless canceled in writing at least seven (7) days before the next billing date. Payments are non-refundable once processing has occurred.

21.4 Cancellation.
Client may cancel the Service by sending written notice to support@leadsproject.net. No prorated refunds are issued for partial months of service.

21.5 Performance Disclaimer.
Leads Project does not guarantee a specific number of new reviews, star ratings, or ranking outcomes. Results depend on Client participation and external factors outside Leads Project’s control.

21.6 Chargebacks & Disputes.
Client agrees not to initiate any payment dispute or chargeback without first attempting to resolve the issue directly with Leads Project. Unauthorized chargebacks constitute breach of this Agreement and may result in immediate suspension of service and collection efforts for the outstanding balance.

21.7 Termination for Non-Payment.
Failure to maintain an active payment method or successful charge will result in immediate suspension or termination of the Service.

By using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
